Access to our online training content is provided on a subscription basis (monthly or annual, as selected at checkout). Your subscription grants you a limited, non-transferable license to access the content for the duration of your active subscription.
### 5.2 Billing
– Subscriptions automatically renew at the end of each billing cycle (monthly or annually) at the then-current rate
– You authorize us, through our third-party payment processor, to charge your payment method on file for each renewal
– All fees are stated in U.S. dollars and exclude applicable taxes unless noted
### 5.3 Price Changes
We may change subscription prices at any time. We will provide reasonable advance notice of price changes before they take effect. Continued use of the Services after a price change constitutes acceptance of the new price.
### 5.4 Cancellation
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing cycle. You will retain access to subscription content until the end of that cycle.
### 5.5 Refunds
Refunds are evaluated on a case by case basis. To request a refund, contact [email protected] with your account details and the reason for your request. Approval is at our sole discretion. Granting a refund in one instance does not obligate us to grant refunds in other instances.
### 5.6 Failed Payments
If a payment fails, we may suspend or terminate your access until payment is successfully processed.
## 6. License to Use Course Content
Subject to your compliance with these Terms and an active subscription, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and view course content for your personal, non-commercial use.
You may not:
– Download, copy, record, or redistribute course content except as expressly permitted
– Share your account credentials with others
– Resell, sublicense, or commercially exploit the content
– Use automated tools to scrape, harvest, or mirror content
– Circumvent any technical protection measures
– Use content to train machine learning or AI models

We do not warrant that:
– The Services will be uninterrupted, secure, or error-free
– Any information or content will be accurate, reliable, or complete
– Any specific results will be achieved from use of our courses or materials
– Defects will be corrected
Our courses and content are provided for educational and informational purposes only. They do not constitute professional, legal, financial, medical, or other advice.
## 11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IQ DESIGNS LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, our liability is limited to the greatest extent permitted by law.

You agree to indemnify, defend, and hold harmless IQ Designs LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or related to:

– Your violation of these Terms
– Your violation of any third-party right
– Any content you submit to the Services

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice, including if we believe you have violated these Terms.
Upon termination:
– Your right to access the Services immediately ends
– Provisions that by their nature should survive (including intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution) will survive
– Any outstanding fees remain payable
You may terminate your account at any time by canceling your subscription and contacting us to request account deletion.

We may modify, suspend, or discontinue any part of the Services at any time, with or without notice.
We may update these Terms from time to time. The revised version will be posted with an updated Effective Date. Material changes will be communicated through the Services or by email where practical. Continued use of the Services after changes constitutes acceptance of the updated Terms.

These Terms are governed by the laws of the State of Florida, without regard to its conflict of laws principles.
Any dispute arising out of or related to these Terms or the Services shall be resolved exclusively in the state or federal courts located in Florida, and you consent to the personal jurisdiction of those courts.
You agree that any claim must be brought within one (1) year after it arises, or be permanently barred.
### Class Action Waiver
To the extent permitted by law, you and IQ Designs LLC agree that any dispute will be resolved on an individual basis, and neither party may bring claims as a plaintiff or class member in any class, collective, or representative proceeding.

Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Services, you consent to the practices described in the Privacy Policy.

– **No Waiver:** Our failure to enforce any provision is not a waiver of our right to enforce it later.
